VENDOR AGREEMENT
I, ______________________________________________, (hereafter referred to as "Vendor") do hereby attest that I agree to all of the following conditions of consigning with A New Dawn Boutique, LLC. A Vendor is defined as an individual from independent small business or an artist/crafter selling hand-made, unused items. A New Dawn Boutique, LLC will receive consignments daily. A New Dawn Boutique, LLC reserves the right to schedule appointments, when necessary, to allow for the proficient and expeditious handling of consigned goods. A New Dawn Boutique, LLC will only accept items from vendors which are clean and in marketable condition. A New Dawn Boutique, LLC shall, in its sole discretion, have the right of final determination of the acceptability of all merchandise displayed for sale. A New Dawn Boutique, LLC reserves the right to refuse goods which are outdated, unsafe, damaged, tarnished, chipped, broken, etc. A New Dawn Boutique, LLC may from time to time impose a limit on the amount of items and size of item(s) which any one Vendor may consign due to space limitations. Pricing of consigned items will be set by A New Dawn Boutique, LLC based on this Agreement. Vendor will submit Agreement along with pictures and/or samples for consideration. A New Dawn Boutique, LLC will review the pricing strategy to determine whether Vendor’s value proposition aligns with the organization’s Mission Statement. All goods consigned will be offered for sale in accordance with A New Dawn Boutique, LLC store policy and the terms as outlined in this Agreement. A New Dawn Boutique, LLC will receive a commission on all sales as follows: 40% on all items consigned to A New Dawn Boutique, LLC and accepted for sale. Occasionally A New Dawn Boutique, LLC may conduct special storewide sales events. Please initial if you are willing to participate in a store-wide sales event. A New Dawn Boutique, LLC would split the discount (sales %) evenly with the Vendor. _____ Yes, I’d like to participate. A New Dawn Boutique, LLC will display all consigned merchandise for a minimum period of 90 days and will adhere to the terms below.
1. Vendor pricing would not be discounted under normal “consignment” product unless the vendor prefers to set it up as such. The “normal” consignment price structure on “gently used” products include an automatic price reduction at the end of the first 30 and 60 days.2. Vendor will be contacted after the first 30 and 60 days to review the sales of their merchandise and determine whether any price strategy changes are appropriate.3. Vendor agrees to allow A New Dawn Boutique, LLC 3 months of merchandise possession to determine consumer interest in Vendor’s product(s). A New Dawn Boutique, LLC will not consider purchasing product(s) for sale in the store prior to this 90 day period. In the event A New Dawn Boutique, LLC agrees to purchase inventory of Vendor’s product(s), wholesale Agreement will need to be established.4. Vendor will be notified of upcoming storewide sale events to determine whether they are interested in discounting their merchandise.5. After (90) days from date of original possession, Vendor may choose to continue this Agreement on a month by month basis or remove their merchandise from the store. 6. In the event a Vendor chooses to discontinue selling their product(s) at A New Dawn Boutique, LLC, Vendor agrees to provide fifteen (15) days’ notice so merchandise can be pulled from display in preparation of removal. Vendor has thirty (30) days from date of notice as a removal period. A New Dawn Boutique, LLC does not assume any responsibility or liability for any merchandise which has not been removed from the premises during the thirty (30) day removal period. Any merchandise which the Vendor does not claim and remove within the thirty (30) day removal period will become the property of A New Dawn Boutique, LLC and A New Dawn Boutique, LLC may donate, dispose of or sell said merchandise as its own.
In the event that the Vendor wishes to remove early any item which the Vendor has consigned to A New Dawn Boutique, LLC under the terms of this Agreement, then the Vendor agrees to pay A New Dawn Boutique, LLC $5.00 per item or 10% of the original established selling price (whichever is greater) prior to the removal of said item. A New Dawn Boutique, LLC will issue settlement checks and have them ready for pick-up by twelve noon on the 7th business day of each month for all merchandise sold during the prior month for the respective Vendor. It will be the responsibility of the Vendor to pick up their respective settlement checks. Should the Vendor request their checks be mailed, A New Dawn Boutique, LLC will charge a $2.00 fee per mailing and this amount will be deducted from their settlement check, or in the alternative, the Vendor may supply self-addressed/stamped envelopes for A New Dawn Boutique, LLC to use for the Vendor’s benefit. All checks issued by A New Dawn Boutique, LLC are void after 90 days from the date of issue. A New Dawn Boutique, LLC will not authorize any check(s) to be cashed and/or reissued after said check(s) have become void. A New Dawn Boutique, LLC will not reissue any check(s) due to damage or loss, etc. The Vendor is responsible for all merchandise liability. A New Dawn Boutique, LLC assumes no responsibility for the operation, function, action, performance and or condition of any consigned merchandise. The Vendor further accepts full ownership responsibility for all consigned merchandise. A New Dawn Boutique, LLC does not assume responsibility for, or insure against theft or loss of consigned property. Vendor is responsible for fire, theft, and damage insurance and other insurance Vendor deems appropriate to protect their merchandise while the merchandise is on the premises known as A New Dawn Boutique, LLC, 7850 Main Street, Frisco, TX 75034. A New Dawn Boutique, LLC will collect and remit to the proper tax authority all state and local sales tax. A New Dawn Boutique, LLC agrees to be responsible for all bank charges, credit card fees, loss from bad checks, promotional and advertising fees. A New Dawn Boutique, LLC agrees its store will be open Tuesday - Friday from 10:00 a.m. until 7:00 p.m. and Saturdays from 10:00 a.m. until 5:00 p.m. A New Dawn Boutique, LLC reserves the right to change its store hours from time to time without giving notice to Vendor. A New Dawn Boutique, LLC will be closed on Sundays and Mondays. A New Dawn Boutique, LLC will be closed for business on the following holidays: New Year’s Day, Easter Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, Christmas Eve and Christmas Day and all others to be determined from time to time by A New Dawn Boutique, LLC, including emergency closings. A New Dawn Boutique, LLC will be closed the first two weeks of January for year-end cleanup. Vendor acknowledges that A New Dawn Boutique, LLC is subject to a lease Agreement with its landlord. Should A New Dawn Boutique, LLC’s lease with its landlord expire or be terminated for any reason, notwithstanding anything contained in this Agreement to the contrary, this Agreement will immediately terminate at the same time as A New Dawn Boutique, LLC’s lease terminates. By my signature below, I acknowledge that I have read and accept the conditions and terms as outlined in this Agreement.
